Terms and Conditions – Noyau

These Terms and Conditions govern your use of the Noyau mobile application and related services operated by NOYAU SASU, registered under SIREN 992 930 024, with registered office at 9 rue Laure Fiot, 92600 Asnières-sur-Seine, France.

 

By creating an account or using Noyau, you agree to these Terms.

 

1. The Noyau Service

Noyau is a personal thinking and journaling application designed to help users capture, organize, revisit, and reflect on their thoughts, experiences, observations, and other personal content.

Noyau may provide features including Notes, Highlights, Tags, Myz, Contexts, navigation tools, AI-assisted reflection, AI-generated suggestions, and other analytical or organizational features.

The service may evolve over time and features may be added, modified, or discontinued.

 

2. Eligibility

Noyau is intended for users aged 18 or over.

By creating an account, you confirm that you are legally able to enter into these Terms.

 

3. Accounts

Certain features of Noyau require an account.

You are responsible for:

  • providing accurate account information;

  • maintaining the confidentiality of your login credentials;

  • protecting access to devices used to access Noyau; and

  • notifying us if you suspect unauthorized access to your account.

You may not impersonate another person or create an account for unlawful or fraudulent purposes.

 

4. User Content

You retain ownership of the Notes, text, Tags, Highlights, associations, and other content you create or upload to Noyau.

You grant Noyau a limited, non-exclusive licence to host, store, process, transmit, reproduce, and technically transform your content only to the extent necessary to operate and provide the service, including requested AI features.

This licence ends when the relevant content is deleted, except where temporary retention is required for backups, security, legal obligations, or other purposes described in our Privacy Policy.

You are responsible for the content you choose to store in Noyau.

When recording information about other people, you should avoid including unnecessary confidential, highly sensitive, unlawful, or harmful information.

 

5. AI Features

Noyau may provide artificial-intelligence features such as Reflect, Explore, Deep Dive, pattern analysis, content associations, or other AI-generated suggestions.

AI-generated output is provided for informational and reflective purposes only.

AI output may:

  • be incomplete;

  • contain errors;

  • misinterpret context;

  • generate unexpected or inaccurate conclusions.

You remain responsible for deciding whether any AI-generated content, suggestion, interpretation, or association is useful or appropriate.

Noyau does not provide medical, psychological, legal, financial, or other regulated professional advice.

You should not rely on AI-generated content as a substitute for qualified professional advice where such advice is appropriate.

 

6. Paid Features and Subscriptions

Noyau may offer both free and paid functionality.

Paid features may include access to AI capabilities, increased usage limits, or other premium functionality.

Where a subscription is purchased through the Apple App Store or Google Play:

  • the applicable app store processes the payment;

  • the price, billing frequency, and renewal conditions are displayed before purchase;

  • subscriptions may renew automatically unless cancelled in accordance with the applicable store rules;

  • subscription management and cancellation are handled through the relevant Apple or Google account.

Google requires subscription terms, billing frequency, renewal conditions, and cancellation mechanisms to be disclosed clearly to users.

Deleting the Noyau application or deleting a Noyau account does not necessarily cancel an active app-store subscription. Users should separately cancel their subscription through Apple or Google where applicable.

Refunds are handled according to the applicable app-store rules and mandatory consumer law. Google notes that refund rights can vary depending on country and circumstances.

 

7. Acceptable Use

You agree not to use Noyau:

  • for unlawful purposes;

  • to interfere with or disrupt the service;

  • to attempt unauthorized access to accounts, systems, or infrastructure;

  • to reverse engineer, exploit, or misuse the service except where permitted by mandatory law;

  • to distribute malware or harmful code;

  • to infringe the intellectual-property or privacy rights of others;

  • to use automated means to abuse, overload, scrape, or circumvent usage limits;

  • to use Noyau to facilitate harmful, fraudulent, or illegal activity.

We may restrict or suspend access where reasonably necessary to protect users, the service, or applicable legal obligations.

 

8. Intellectual Property

Except for user-owned content, Noyau and its associated software, design, interfaces, branding, graphics, structure, features, and other proprietary materials are owned by or licensed to NOYAU SASU.

These Terms do not transfer ownership of Noyau intellectual property to users.

You receive only the limited right to use the service in accordance with these Terms.

 

9. Privacy

Our processing of personal data is governed by the Noyau Privacy Policy:

The Privacy Policy explains what data Noyau processes, why it is processed, how it is protected, how long it may be retained, and the rights available to users.

 

10. Account Deletion

You may stop using Noyau at any time.

You may request deletion of your account:

  • through the account-deletion functionality available in the app; and/or

  • through our external account-deletion page:

When an account is deleted, associated personal data will be deleted or anonymized in accordance with the Privacy Policy, subject to limited retention where required for legal, accounting, security, backup, or fraud-prevention purposes.

 

11. Availability and Changes to the Service

We aim to provide a reliable service but do not guarantee that Noyau will always be available, uninterrupted, secure, or error-free.

Temporary interruptions may occur because of:

  • maintenance;

  • software updates;

  • technical failures;

  • service-provider outages;

  • security incidents;

  • circumstances beyond our reasonable control.

We may modify, add, remove, or improve features over time.

Where a material change affects paid functionality or users' legal rights, we will provide appropriate notice where required.

 

12. Suspension and Termination

You may stop using the service and request account deletion at any time.

We may suspend or terminate access where reasonably necessary because of:

  • serious or repeated breach of these Terms;

  • unlawful or abusive use;

  • security risks;

  • fraudulent activity;

  • legal or regulatory requirements.

Where reasonably possible and legally appropriate, we will provide notice before termination.

 

13. Disclaimer

Noyau is provided on an “as available” basis.

While we seek to provide a reliable and useful service, we do not guarantee that:

  • AI-generated outputs will be accurate;

  • every pattern or association identified will be meaningful;

  • the service will meet every individual user's expectations;

  • all technical errors can be avoided.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer law.

 

14. Limitation of Liability

To the maximum extent permitted by applicable law, NOYAU SASU will not be liable for indirect, incidental, or consequential loss arising from use of the service.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by law, including applicable statutory consumer rights.

Users remain responsible for maintaining appropriate copies of information they consider essential.

 

15. Changes to These Terms

We may update these Terms to reflect:

  • changes to Noyau;

  • changes to paid services;

  • legal or regulatory developments;

  • security requirements;

  • changes to third-party services.

The current version will remain available online.

Where a change materially affects users' rights or obligations, we will provide reasonable notice where required.

Continued use of Noyau after an updated version becomes applicable constitutes acceptance where permitted by law.

 

16. Governing Law

These Terms are governed by the laws of France.

If you are a consumer, this choice of law does not deprive you of mandatory protections available under the laws applicable in your country of residence.

Any dispute will be handled by the competent courts determined under applicable law.
